AFFILIATE AGREEMANT

This agreement contains the complete term and conditions that apply to an individual's or entity's participation in the QJ Affiliate Program (the "Program"). As used in this Agreement. "Affiliate" means the applicant.

TERM

1. The term of this agreement shall commence on the date which an approved link to QJ site (the "link") is placed on Affiliate's site and expire when terminated by either party with three days written or emailed notice.

2. Upon termination, Affiliate agrees to remove the Link from its site.

OBLIGATIONS OF QJ

3. QJ will supply Affiliate with artwork and text that can be placed on Affiliate's site and act as a link to QJ's site.

4. QJ will compensate Affiliate for each Affiliate-Generated Purchase. An "Affiliate-Generated Purchase" shall be defined as a purchase made during a user session in which the first URL requested on the QJ site contains the URL name codeassigned to the affiliate. (For instance, links to the home page of QJ.com are coded as: http://www.qj.com/

5. "Purchase Amount" is defined as the gross amount of an Affiliate-Generated Purchase less shipping charges, gift-wrapping charges, sales tax, and coupons.

6. For sites deemed by QJ to be commercial websites,QJ will remit 15% of the Purchase Amount of Affiliate-Generated Purchases to Affiliate. In general, sites with their own domain names in the format www.domainname.com, - org, -edu and net are considered commercial websites.

7. For sites deemed by QJ to be personal websites QJ will remit 7.5% of the Purchase Amount per calendar quarter. In general, sites operating as a sub-directory of a domain name (e.g. members.aol.com/xyz...)shall be deemed by to be personal websites. The determination as to whether a site is a commercial or personal website is at the sole discretion of QJ.

8. On a quarterly basis payments will be made within 30 days.

OBLIGATIONS OF AFFILIATE

10. Affiliate will place a graphical, text link to QJ on the Affiliate site in a manner consistent with artwork and / or text provided by QJ.

12. Posting, mailing or distrubuting QJ coupons, gift certicates or other discount mechanisms in any way without prior permission from QJ is grounds for immediate termination of this agreement.

MODIFICATION

13. At any time and in our sole discretion, QJ may modify any of the terms and conditions contained in this Agreement by emailing a revised agreement to you. If a modification is unacceptable to you, your only recourse is to terminate your participation in the Program. Your continued participation in the Program following receipt of a revised agreement constitutes your acceptance of the new agreement.

MISCELLANEOUS

14. This Agreement will be governed by the laws of Canada and the province of Quebec. Any action relating to this Agreement must be brought in the federal or province courts located in Quebec, Montreal, and you irrevocably consent to the jurisdiction of such courts.
